Terms and Conditions of Membership Service (Overseas Members)

I.Membership stipulations and legal provisions of Hi-Pure shopping net

1.Hi-Pure shopping net (hereinafter referred to as the Service) is the service provided by Hi-Pure Biotechnology Co., LTD. (hereinafter referred to as the Company) in accordance with the Terms and Conditions of Membership Service (hereinafter referred to as the Conditions). The Conditions are set out to protect the rights of members and confirm the contractual relationship of the Company and the product suppliers with members.
2.If you use the Service, it shall mean that you have read in detail, understood and accepted all the contents of the membership stipulations and conditions of the Service; fully accepted the Company and its current and future service items; and undertaken to observe the relevant laws of the Republic of China and the provisions and practice of all internet networks. If you are less than 20 years of age, you can only use or continue to use the Service after your parent (or guardian) has read, understood and agreed to the contents and subsequent amendments of the Conditions.
3.The Company shall have the right to amend or alter the content of the Conditions at any time without individual notice to members. You are advised to take notice of the relevant amendments and alterations from time to time. If you continue to use the Service after any amendment or alteration, you will be regarded as having read, understood and agreed to the relevant amendments and alterations. On the contrary, if you do not agree to all or part of the content or service after the amendment or alteration, you should stop using the Service immediately.
4.After becoming a member of the Service, you shall agree to receive information and letters related to the Company and the Service and are entitled to emails or publications of the membership e-newspaper sent irregularly for communication and publicity purposes.
 
5.The scope of service provided by the Company shall include the website www.hi-pure.com, and all future entities and websites of the Company used as a platform for the cash flow, delivery flow and information flow of the Company. The content of services shall include but not be limited to the sale and purchase of products, content reading and provision of product information by way of email or other methods. The Company shall add, amend or terminate relevant services in accordance with the actual situation.
6.The Company shall reserve the right to accept or refuse orders.
7.The rebate system in respect of the membership activities of the Service shall be applicable to the members of the island of Taiwan only.
8.For deliveries to districts outside the island of Taiwan and other countries, please refer to the relevant stipulations and the FAQs of our website.

II.Obligations of membership registration

1.Your identity card number shall be used as the membership login account number of the Service, which shall be filled in accurately. No duplicate login with the same identity card number and password shall be allowed for the protection of your rights. 
Foreign member please enter 4-10 letters or digits as the membership number.

2.Accurate information shall be filled in to login as the registered member of the Service. Should there be any false login or failure to update inaccurate login information, the Service shall reserve the right to terminate your membership and qualification to use the services at any time. In the event that any member or the website suffers any loss due to your utilization of other people's name, the Company shall reserve the right to pursue and provide relevant information to the police for investigation.
3.For the protection of your rights, please keep your account number and password properly and refrain from disclosing or providing this information. All the activities carried out after logging into the Service with the same membership identity card number and password shall be deemed as the activities carried out by the member and the password holder. The Company shall not be liable for any losses incurred from your negligence or disclosure of the account number and password.
4.Should you suspect that your account number and password have been lost or stolen; you should inform the Company at once to protect your rights. You shall also prevent your personal data, payment information (including credit card information) and membership password from being disclosed. If a web member discovers that his/her account number or password has been illegally used, or notices any abnormal disturbance to the security, he/she shall inform the Company immediately. If the Company and the Service cannot perform effective prevention or maintenance due to late notification, the member shall bear full liability.

III.Addition, amendment and termination of the terms and conditions of membership

1.The Company shall reserve the right to amend the Conditions at any time and the amended Conditions will be posted on the Service without individual notice to members. If you do not agree to the amended content, you should stop using the Service. If you continue to use the Service, you will be regarded as having agreed to and accepted the restrictions imposed by the new or amended conditions.
2.You agree that if the Company opines that you have violated the stipulations and spirit of the Conditions of the Service, your password, account number (or any part of it) and right to use the Service will be terminated at any time with or without notice.

IV.Membership online shopping

1.If a member engages in the online shopping of the Service, it shall mean that he/she is willing to purchase that product or service and observe the Conditions and the transaction rules and conditions of each online purchase. Should there be any changes to the user information (such as address and telephone number), he/she shall correct the information immediately and shall not deny his/her purchase or refuse payment on the ground of incorrect information. The Service shall reserve the right to accept or refuse your orders. 
2.If you select payment by credit card, you shall fill in accurate credit card information. Should there be any false login or credit payment unauthorized by the cardholder, the Company shall suspend or terminate his/her membership, and pursue any violation of the relevant laws of the Republic of China. Apart from e-transaction records, the Company will not retain any relevant information of the credit cards including the card numbers that members use on the website, to protect the privacy and rights of members.
3.Users shall agree that the information of e-transactions recorded by the Service shall prevail for all online shopping carried out in the Service. Should there be any dispute, the information of e-transactions shall be final. If users discover that the information of transaction is incorrect, he/she shall inform the e-business administrator of the Company.
4.The return/order of products of the Service shall be handled in accordance with the relevant laws and orders, such as the Consumer Protection Law, and the procedures of return/order of products set by each product supplier. However, the return of the following products are not allowed: digital products or products using electromagnetic memory, perishable or damageable products, and any products that cannot or are unsuitable to be returned in nature, including but not limited to computer programs, cassette tapes, video tapes, CDs, VCDs, DVDs, floral products and food, and products or information that can be downloaded. For products that are allowed to be returned, if a consumer requests to return the products or terminate an agreement, he/she shall maintain the integrity of the products, accessories, packaging and all documents or information attached, and be responsible for the delivery fee of the returned products. He/she shall also send the individual products to the place designated by the customer service officers within three days of the date he/she notified the Company. Returned products or agreement termination shall not be accepted after this period. The relevant formalities will be carried out as soon as due examination is completed. Should consumers have any enquiries on the handling procedures of return/order of products, please contact customer service officers directly within 7 days of receiving the product(s).
5.The Company and the Service are not liable for the accuracy, reliability and timeliness of information supplied on external websites accessible from our website.

V.Sale and purchase or other transactions

Merchants or individuals may provide the sale and purchase of products, service or other transactions on other websites accessed from the Service. The sale and purchase or contracts incurred from the transactions with such merchants or individuals shall be the business between you and such merchants or individuals only. You shall require such merchants or individuals to explain in detail the quality, content, delivery, guarantee and flaw liability, etc of their products, service or other objects of transactions in advance. Should any dispute be incurred from the above-mentioned sale and purchase, service or other transactions, you shall approach such merchants or individuals for assistance or solution. The Service hereby declares that it will not intervene with the sale and purchase, services or other transactions between you and such merchants or individuals, nor be liable for the warranty of the products, services or other objects of transactions you acquire. Should you engage in sale and purchase, services or other transactions provided by the Service, the rights and obligations of both parties shall be set out separately in accordance with the agreement of responsibility of the website.

VI.Protection of intellectual property rights

The Company or other legitimate right holders shall possess the intellectual property rights, including but not limited to articles, graphics, files, information, data and structure/layout/design of the website, including but not limited to trademarks, patents, copyrights, trade secrets and exclusive techniques, etc of the software or programs and contents of the Service. Unauthorized use, modification, duplication, public transmission, alteration, distribution, publication, public broadcast, reverse engineering, decoding or decompilation is strictly prohibited. If you wish to quote or post the above-mentioned software, programs or content of the website, you shall obtain the written consent of the Company or other right holders in advance in accordance with the laws. It is your obligation to respect intellectual property rights. Should there be any violation, you shall be liable for compensation to the right holders (including but not limited to litigation costs and attorneys' fees, etc).

VII.Protection of privacy

1.The Company will not disclose the name, address, credit card number, email address and other legally protected personal data of members retained, to any other non-business partners without the prior consent of members.
2.For the purposes of marketing, market analysis, statistics or research, or provision of personalized service or service with add-value to members, members shall agree that the Company or the strategic partner(s) of the Company shall record, keep and use the information and record that members retained or generated on the website as statistics, on condition that such information is not being disclosed.
3.Under the following circumstances, the Company may provide your personal data to the competent authorities or any third party who suggests that his/her rights have been infringed and requests formal proof from the judicial institutes:
3.1Based on legal provisions, or requests made on the basis of statutory procedures from judicial institutes or other competent authorities.
3.2To maintain the legitimate rights of other members or any third party in emergency cases.
3.3To maintain the proper operation of the service system.
3.4Information in respect of the cash flow and delivery flow resulting from the purchase of products and redemption of gifts by members via the Service.
3.5Members' use of the Service is in violation of the laws and orders or the Conditions.
 
4.You agree to accept the "Declaration of Privacy" of the Service. The personal data that you used for login or retained on the Service will be strictly protected and the website shall reserve the right to make necessary authorization in respect of such information.

VIII.Transaction Security

1.The Service uses 128bits SSL "Global Secure Site"

"Global Secure Site" is the website using the Server ID issued by HiTRUST. The Service uses a 128bits SSL Secure Server.When members make payment by credit card and enter relevant information and card number, such data will be sent to the server of the receiving bank by 128bits secure transmission for comparative certification to confirm the accuracy of such information. The system will then inform consumers whether the transaction is successful.Information entered is encrypted in the course of transmission. Which means that even if the information is intercepted, only meaningless code will be seen. Web merchants authorized by banks are the only parties to receive such information, who will then request the banks for payment by way of encryption to protect the members' rights and security of purchase. For the content, serial number and relevant provisions of the Server ID of "Global Secure Site" of the Service, please access HiTRUST for enquiry.
2.The Service uses "Visa Secure E-Commerce Initiative" launched by Visa International Corporation

Apart from using VeriSign SSL 128Bits encryption, the website also supports VISA3D certification. When you engage in online shopping, you only have to enter a selected PIN for your Visa card, like entering your PIN for the automatic teller machines. That is to say, you are the only one to use your Visa card online, like using your Visa card in the store. The service of "Visa certification" gives you more protection and provides a safe and convenient service.

IX.Suspension or termination of service

The Company shall maintain the proper operation of the Service by ways and techniques currently deemed as reasonable. But the Company shall suspend or terminate all or part of the Service under the following circumstances, and not be liable for any compensation or indemnity for any direct or indirect loss suffered by the user(s):
1.Removal, replacement, upgrade, maintenance or repair of the relevant hardware of the Service;
2.Any violation of the laws and orders or the Conditions by the user(s);
3.Termination or interruption of the Service due to natural disasters or other force majeure;
4.Termination or interruption of the Service due to causes falling outside of the Company's scope of responsibility;
5.Display of incorrect information, or any fabrication, alteration, deletion or acquisition of the information, or interruption or improper operation of the system due to causes out of the Company's control.
The Company shall inform the members by proper method beforehand of any possible interruption or suspension of the system due to any foreseeable maintenance of the software and hardware.

X.Legal basis and court jurisdiction

1.If all or part of any of the terms of the Conditions becomes null and void, the effect of other provisions shall not be affected.
2.The interpretation and application of the Conditions, as well as the relationship of the relevant rights and obligation of the Conditions shall be handled in accordance with the stipulations of the Internet and the laws of the Republic of China.
 
3.Should there be any dispute, the parties shall consent to the non-exclusive jurisdiction of the Taiwan Taipei District Court.
4.Should there be any imperfections in the declaration and terms of the Company, the Company shall furnish solutions with the greatest sincerity and on the principle of integrity and equal and mutual benefit.
